These Terms of Service ("Terms") are an agreement between you and EvalsOne LTD, a company registered in England and Wales, company number 15120327, registered office 71-75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom ("EvalsOne," "ConsoleX," "we," "us," or "our"). They govern your use of ConsoleX AI and its websites, desktop and mobile applications, APIs, and related services (the "Service"). Our Privacy Policy forms part of these Terms. By creating an account or using the Service, you agree to both. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old to use the Service. If you are under the age of majority where you live, you may only use the Service with the involvement of a parent or guardian who agrees to these Terms. If you use the Service for an organisation, you confirm you are authorised to bind that organisation, and "you" means both you and it.

2. Your Account

Give us accurate account information and keep it current. You are responsible for keeping your credentials confidential and for activity that happens under your account. Tell us promptly at contact@evalsone.com if you suspect unauthorised use. Do not choose a username that impersonates someone, infringes a trademark, or is offensive. One person or organisation may not operate multiple accounts to circumvent credit limits, free allowances, or promotional pricing.

3. The Service

ConsoleX gives you a single workspace for many AI models and for Agents, Skills, MCP servers, tools, file assets, scheduled tasks, artifacts, cloud browsing, and conversation sharing. Which models and features are available depends on your plan, on the third-party providers we work with, and on your own configuration, and they change over time as models are released and retired.

We may add, change, suspend, or withdraw features. Where a change materially reduces what a paid plan provides, we will give you reasonable notice and, if you are on a paid plan, a pro-rata refund of prepaid fees for the unused period if you choose to stop.

4. Your Content and the Licence You Grant Us

"Your Content" means everything you submit to the Service — prompts, files, images, audio, video, configurations, and anything else. You keep all rights you already have in Your Content. You confirm you own it or are otherwise permitted to submit it and to grant the licence below, and that submitting it does not infringe anyone's rights or break any law.

You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, display, and process Your Content solely to the extent necessary to provide, maintain, secure, and support the Service for you — including transmitting it to the third-party model providers, MCP servers, and tools you select. This licence exists only to run the Service on your behalf. We do not use Your Content to train our own AI models, and we do not make it public or available to other users unless you choose to share or publish it. It ends when you delete the relevant content or your account, apart from copies retained in backups for a limited period or as required by law.

If you use a sharing link or publish content within the Service, you also grant us permission to make that specific content available to the people you have shared it with, or publicly, for as long as you keep the share active.

5. Output

"Output" means content the Service generates in response to Your Content. As between you and us, and subject to your compliance with these Terms, we assign to you all our right, title, and interest in Output, including for commercial use. You are responsible for Output — for reviewing it, and for ensuring your use of it complies with the law and these Terms.

AI models are probabilistic. Output may be inaccurate, incomplete, biased, or misleading, and it may not be unique — similar inputs from other users can produce similar Output, and Output generated for others is not yours. Do not rely on Output as professional advice. Always apply human review before relying on it, and never use it as a substitute for a qualified medical, legal, financial, or safety professional.

6. Third-Party Models, Tools, and Integrations

The Service routes your requests to third-party AI providers and, where you configure them, to third-party MCP servers, tools, storage, and other integrations. Your use of those services is also subject to their own terms and policies, and you are responsible for complying with them and for any keys or credentials you supply. We do not control those providers and are not responsible for their availability, output, pricing changes, or acts and omissions. If a provider changes or withdraws a model, we may have to change or withdraw it in the Service too.

7. Plans, Credits, and Billing

  • Plans and credits. Access is sold through subscription plans and credits. Credits are consumed as you use models, tools, and features, at the rates shown in the Service, which vary by model and may change when provider pricing changes. Credits have no cash value, are not transferable, and are not redeemable for money.
  • Subscriptions. Subscriptions renew automatically at the end of each billing cycle at the then-current price until you cancel. You can cancel at any time from your account settings; cancellation takes effect at the end of the current cycle, and you keep access until then.
  • Auto-recharge. If you enable automatic credit top-ups, you authorise us to charge your payment method for the amount you configured whenever your balance falls below your chosen threshold. You can turn this off at any time in account settings.
  • Usage-based charges. Some features are billed by actual consumption. Where you enable these, you are responsible for the resulting charges, including those generated by Agents, scheduled tasks, or automations you set up.
  • Lifetime plans. Where we offer a lifetime or one-time plan, "lifetime" means the operational lifetime of the Service or of that plan, not your lifetime. Its scope, included allowances, and any fair-use limits are those stated at purchase.
  • Payment. Payments are processed by Stripe. You confirm you may lawfully use the payment method you provide. Prices exclude taxes unless stated; you are responsible for any applicable VAT or other taxes. If a charge fails, we may retry it, invoice you, or suspend paid features until payment is resolved.
  • Price changes. We may change prices with at least 30 days' notice before they apply to your next renewal. If you do not accept a new price, cancel before that renewal.

8. Refunds and Cancellation Rights

Fees are generally non-refundable except as set out here or as required by law. We do not refund credits already consumed or partially used billing periods, but if you believe you were charged in error, contact us at contact@evalsone.com and we will review it in good faith.

If you are a consumer in the UK or EU, you normally have 14 days to cancel a purchase of digital content. Because the Service is supplied immediately, by purchasing you expressly ask us to begin supply straight away and acknowledge that you lose that 14-day cancellation right once supply has begun. Where supply has not yet begun, or where local law gives you a right we cannot exclude, that right is unaffected.

9. Affiliate Programme

If you join our affiliate programme, you may earn commission on qualifying referrals under the rates and terms shown in the affiliate portal. You must identify yourself as an affiliate where required, must not bid on our brand terms, spam, make false claims about the Service, or refer yourself or accounts you control. We may withhold or reverse commission for referrals that are fraudulent, refunded, charged back, or in breach of these Terms, and we may change or end the programme with reasonable notice.

10. Acceptable Use

You must not use the Service to:

  • Break any applicable law, or infringe anyone's intellectual property, privacy, or other rights.
  • Generate or distribute child sexual abuse material, non-consensual intimate imagery, or content that sexualises minors.
  • Harass, threaten, defame, or incite violence or hatred against any person or group.
  • Create malware, or plan or carry out attacks against computer systems, networks, or infrastructure.
  • Produce disinformation, impersonate a real person or organisation, or generate deceptive synthetic media, including for fraud, scams, or election interference.
  • Provide medical, legal, or financial advice presented as coming from a qualified professional, or make automated decisions with legal or similarly significant effects on people without meaningful human review.
  • Send spam or unsolicited bulk messaging.
  • Scrape, resell, sublicense, or white-label the Service; use it to build a competing product; or reverse engineer it except where that right cannot lawfully be restricted.
  • Circumvent credit limits, rate limits, filters, or safety measures, or share credentials to exceed your plan's entitlements.
  • Overload, disrupt, or attempt unauthorised access to the Service or any connected system, including by denial-of-service attack.
  • Use the Service where doing so is prohibited by sanctions or export control laws that apply to you or us.

We may update this list as risks evolve. We may — but are not obliged to — review content and activity to enforce these rules, investigate suspected abuse, and meet legal obligations.

11. Our Intellectual Property

The Service, including its software, interfaces, documentation, and branding, belongs to EvalsOne LTD and its licensors and is protected by intellectual property laws. These Terms give you a limited, revocable, non-exclusive, non-transferable right to use the Service as permitted. We reserve all rights not expressly granted, and you may not use our trademarks without our prior written consent.

12. Feedback

If you send us suggestions or feedback about the Service, we may use them freely and without obligation or compensation to you. Please do not include confidential information in feedback.

13. Suspension and Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, if we are required to by law, or if your use creates a security, legal, or operational risk to us or to others. Except where the breach is serious or repeated, or where the law prevents it, we will give you notice and a chance to fix the problem first.

If we terminate your account without cause, we will refund prepaid fees for the unused period. If we terminate it for your breach, prepaid fees and unused credits are forfeited to the extent the law allows. Sections that by their nature should survive termination do so — including content licences already granted for shared content, Output ownership, disclaimers, liability limits, and governing law.

14. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we exclude all warranties, conditions, and terms implied by statute or common law, including as to merchantability, satisfactory quality, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, that defects will be corrected, or that Output will be accurate, reliable, or suitable for your purposes.

If you are a consumer, nothing in these Terms affects your statutory rights, including your right to receive digital content of satisfactory quality, fit for purpose, and as described.

15. Limitation of Liability

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded.

Subject to that, we are not liable for loss of profits, revenue, business, goodwill, anticipated savings, or data, or for indirect or consequential loss, however arising. Our total liability arising out of or in connection with these Terms and the Service, whether in contract, tort (including negligence), or otherwise, is limited to the greater of the amount you paid us in the 12 months before the event giving rise to the claim, or GBP 100.

We are not liable for loss you suffer through reliance on Output, or through the acts, omissions, outages, or pricing of third-party model providers, MCP servers, tools, or integrations you choose to use.

16. Indemnity

If you use the Service for business purposes, you agree to indemnify us against claims, losses, and reasonable costs arising from Your Content, your use of Output, or your breach of these Terms or of applicable law. This does not apply to you as a consumer.

17. Changes to These Terms

We may update these Terms. For material changes we will give reasonable advance notice by email or in the Service, and update the date above. Changes take effect on the date stated; continuing to use the Service after that means you accept them. If you do not accept them, stop using the Service and cancel your subscription before the changes take effect.

18. Governing Law and Disputes

These Terms and any dispute arising out of them or the Service are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

If you are a consumer resident elsewhere, you keep the protection of any mandatory laws of your country of residence, and you may bring proceedings in your local courts. Please contact us at contact@evalsone.com first — we will try to resolve any complaint informally.

19. General

These Terms, together with the Privacy Policy and any plan terms shown at purchase, are the entire agreement between us about the Service. If any provision is held invalid, the rest continues in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger or sale of assets. Nothing in these Terms gives rights to any third party. We are not liable for failure to perform caused by events beyond our reasonable control.
